CNPLaw LLP assisted Chen & Lin Attorneys-at-Law, Taiwanese counsel to Lite-On Technology Corporation (“Lite-On”), a Taiwan-listed electronics manufacturer, in relation to Lite-On’s strategic investment in DenseLight Photonics (“DenseLight”), a provider of indium phosphide (InP) optical communication components through its Singapore-based operating subsidiary, DenseLight Semiconductors Pte. Ltd., with a total transaction value of US$34.3 million. The transaction involved Lite-On’s subscription for newly issued shares and acquisition of existing shares in DenseLight.
CNPLaw advised on the Singapore law aspects of the transaction, including conducting Singapore legal due diligence, undertaking relevant Singapore corporate and litigation searches, reviewing material corporate records and commercial arrangements, and advising on Singapore regulatory considerations in relation to the proposed investment. The transaction involved cross-border investment and regulatory considerations in addition to Singapore legal due diligence workstreams.
