  • CNP advised Edmund Tie & Company (SEA) Pte Ltd in connection with its joint venture with OrangeTee Holdings Pte Ltd to set up a joint venture company which will be operating under a single name: OrangeTee & Tie Pte Ltd, with a combined force of over 4,000 associates, making it the third largest real estate agency in Singapore.

  • CNP acted for Globe International Events Consultancy Pte. Ltd. in relation to the sale of its interest in the "RetailEX ASEAN" event to Clarion Events Pte. Ltd. The "RetailEX ASEAN" event is an annual exhibition held in Thailand that focuses on retail in-store equipment and solutions. It caters primarily to retailers in the Southeast Asian region and was first launched in 2015. Following the sale, Clarion will work with a local partner to organise future editions of the "RetailEX ASEAN" event.

  • Acted for 5 obstetrics and gynecology specialist doctors in the sale of the Astra Women's Specialists group of clinics to Singapore Medical Group Limited for a sum of S$60 million.

  • Advised TSE-listed TCI group, in connection with acquisition of 34% stake in Anchanto Pte Ltd, a Singapore-based e-commerce fulfilment company, with sales channels throughout ASEAN and India, to integrate TCI's global e-commerce services know-how with Anchato's e-commerce fulfilment capabilities.

  • CNP assisted SCIE SCI Ecommerce ("SCIE"), a Singapore-based e-commerce retailer, on its entry into the Indonesian market. SCIE will provide management services to a joint venture between a well-known Indonesian group specializing in the sale and distribution of mobile phones and other electronics products and a well- known logistics business based in Jakarta.

  • CNP acted for the founder and seller of Expat Insurance Pte Ltd. on its sale to MSH International in April 2016

  • CNP acts for the existing shareholders in a strategic joint venture transaction involving a leading industrial gas and logistics specialist company with operations in Singapore and the PRC.

  • CNP advised SUTL Marina Development Pte Ltd (a subsidiary of SUTL Enterprise Limited), in connection with its joint venture with UEM Land Berhad to develop a private marina, mega yacht marina and public marina in Puteri Harbour Malaysia, under the ONE15 brand.

  • Acted for an MNC purchaser in its S$24 million acquisition of a prime site tenanted industrial building from one of the largest property developers in Singapore.

  • Acted for SUTL Enterprise Limited in the sale of its entire 51% equity stake in Achieva Technology Pte. Ltd. to SCE Enterprise Pte. Ltd., a wholly owned subsidiary of Serial System Ltd., for S$2.4 million.

  • CNP acted for transcosmos inc. on the acquisition of 34.3% of the voting share capital of Anchanto Pte. Ltd.

  • CNP acts as Singapore counsel to the Link Healthcare Group on its acquisition by Clinigen Plc for an initial consideration of 44.5 million and a maximum of approximately 100 million based on achievement of milestones.

  • Acted as Singapore counsel for Bel Fuse Inc. on the acquisition of the Power One Solutions business from ABB, which included the Singapore subsidiary Power-One Pte. Ltd.

  • Advised Yamato Holdings Co. Ltd, ("Yamato Holdings"), Japan's largest integrated logistics company famous for TA-Q-BIN door-to-door delivery service, on the acquisition of Tidiki Express (Pte.) Ltd ("Tidiki"), which operates an emergency delivery network within Singapore, by Yamato Holdings' subsidiary in Singapore, Yamato Asia Pte. Ltd.

  • Advised a Swiss based global commodities trading company in a joint venture with an American computational genomics company completed in February 2014. The transaction involved setting up a Singapore structure to own and manage a new plant development and research business here as well as existing research operations in Nicaragua and Mexico.

  • Acted for Catalist-listed Equation Corp Limited on the disposal of its entire 27.46% controlling stake in mainboard-listed Centillion Environment & Recycling Limited (Centillion) to a new strategic investor, Asia Dynamic Pte Ltd.

  • Acted for Japan Land Limited in the proposed acquisition from Kokusai Kogyo Holdings Co Ltd of its entire interest in companies which own and operate solar power plants in Europe, resulting in a reverse takeover, and a related debt restructuring and debt to equity conversion.

  • Advised Topwin Investment Holding Pte Ltd, a wholly owned subsidiary of BreadTalk Group Limited, in connection with joint ventures with Chinese, Taiwanese and Thai companies to establish and operate food courts under the "Food Republic" trademark in these countries.

  • Acted for China Auto Corporation Ltd on the acquisition of of 25% of the capital of Neftech Pte Ltd for S$47.77 million.

  • Acted for Reed Exhibitions in the establishment of a joint venture company with leading Indonesian MICE, travel and hospitality specialist Panorama Group.

  • Acted for the shareholders of LuxLight Pte Ltd, a Singapore -based specialist high-end lighting distributor with clients in more than 15 countries, in the sale of Luxlight to a wholly owned Singapore subsidiary of Rexel, a French group which is listed on Euronext.

  • Advised a leading hedge fund manager on a proposed debt restructuring of a large cross-border business by means of a Singapore scheme of arrangement.

  • Acted for China Resources Gas Group Limited in connection with the acquisition of AEI China Gas Ltd by Thousand Victory Investments Limited (a wholly-owned subsidiary of China Resources Gas Group Limited) from AEI Asia Ltd for a consideration of US$238 million.

  • Acted for Wanxiang International Limited on the delisting of the company from the Singapore Stock Exchange in a US$63 million transaction in March 2012.

  • Advised a global logistics facilities provider in the sale of its interest in a Japanese real estate joint venture structured through a Singapore trust to the other joint venture partner for a consideration in the region of US$1billion.

  • Acted for the Reed Elsevier Group in two transactions for the sale of various Reed Business Information Asia (RBIA) publications, websites and trademarks.

  • Acted for Spruson & Ferguson, a leading intellectual property group, in its acquisition of Ella Cheong's interest in their patents joint venture in SE Asia and the transfer of the joint venture's trademark practice to Ella Cheong LLC.

  • Acted for container terminal operator Portek International Limited (Portek) as a target of two competing takeover bids, eventually won by Japanese trading group, Mitsui & Co. Our advice extended through to Portek's eventual delisting from the SGX-ST.

  • Acted for the management shareholders in i-POP Networks Pte Ltd, an Asia based mobile services provider, on the acquisition of the company for shares in InternetQ, a European provider of mobile marketing and digital entertainment listed on AIM in London

  • Acted for investment holding company, Golden Wang Holdings Pte. Ltd in a S$12.24 million acquisition of a 20% controlling stake in Catalist-listed Progen Holdings Limited

  • Acted for Cal-Comp Electronics (Thailand) Public Company Limited in relation to a takeover offer made for the shares of Avaplas Ltd, in conjunction with delisting from the SGX-ST of the shares of Avaplas Ltd.

  • Acted for Swanmet Engineering Pte Ltd a metal foundry company with operations in Malaysia and Singapore producing a wide range of cast products The deal relates to the merger of its business and assets with that of Norcast S.a.r.l, the world's second largest producer of mill liners

  • Acted for Eastern Holdings Limited in the sale of the business and assets (in relation to the organising of exhibitions / fairs in Singapore, namely Comex, IT Show, World Food Fair and Food and Beverage Fair)of its subsidiary, Eastern Directories Pte Ltd to Sphere Exhibits Pte Ltd, a subsidiary of Singapore Press Holdings Limited

  • Advised GuardTime Holdings Pte. Limited ("GT") and its subsidiaries ("GT Group"), a group of companies at the cutting edge of digital evidence technology, in its recently concluded Series A funding of USD $8 Million to help roll out its global infrastructure for delivering its provable data integrity service.

  • Advised China Children Fashion Holdings Pte. Ltd. (CCFH), a manufacturer of children's wear in China, and its shareholders on the reverse take over (RTO) of Friven & Co. Ltd. (Friven), a company listed on the SGX-ST Catalist, for a total consideration of up to S$64 million satisfied by the issue of up to 1,280,000,000 shares in the capital of Friven to the shareholders of CCFH.

  • Advised shareholders of target company, Plexus Components Pte Ltd ("Plexus"), on an intended reverse take over of WesTech Electronics Limited ("WesTech"), involving the allotment and issue of up to a 84% interest in the enlarged share capital of WesTech, for a total consideration of S$10 million, to be satisfied via the issuance of new shares in WesTech to the shareholders of Plexus.

  • Advised the controlling shareholder of Want Want Holdings on a US$850 million syndicated loan to finance the offer to take private the company. CFO Asia Deal of the Year 2007

  • Acted for Allco (Singapore) Ltd in its launch of Allco Commercial Real Estate Investment Trust (REIT), including the acquisition and debt financing of the REIT assets in Singapore and Australia. Top Ten Deal of 2006 Asian-Counsel magazine

  • Acted as Singapore counsel to the successful bidder, Downer EDI, in the sale of CPG Corporation by the Singapore government for S$131 million

  • Advised the management sellers to a leveraged private equity management buyout of a group of companies engaged in the business of manufacturing technical equipment in china for distribution in the US and elsewhere, with a transaction value of over US$100 million

  • Acted for a Singapore-based technologies company in a multi-million dollar deal on the sale of its entire business and its subsidiaries in the People's Republic of China to the wholly-owned Singapore subsidiary of a leading U.K Company

  • Assisted a Shanghai-based company in the sale of its logistics business to a Singapore subsidiary of a company listed in Dubai

  • Acted for a multinational company in the exhibitions and publications sector in an acquisition of the shares of its equity joint venture partner in PRC and other related transactions

  • Acted for a Company in the leisure, food and marina industry in their acquisition of a renowned chain of cafes and food restaurants

  • Acted for a Company in the food and health industry in their acquisition of an established brand in the food and beverage business

  • Acted for a Taiwanese company on the acquisition of interests in a Singapore company engaged in the iron and steel business
