Our lawyers' experience in private equity funds, wholesale funds and managed account transactions includes:

  • CNP acted for a group of investors investing in two Singapore Fintech companies, Planar Investments and Dragon Wealth. Planar Investments has been named as a top Singapore Fintech company in the personal finance management space, and operates under the branding of Weinvest. Dragon Wealth has been named as a top Singapore Fintech company in the data management space, and is a financial technology company assisting relationship managers on client preferences and data.

  • CNP acted as lead counsel for the launch of LC Cerestra Core Opportunities Fund Pte. Ltd. ("LCC"), a Singapore domiciled, India focussed real estate fund that seeks opportunities in specialised real estate. CNP also acted as Singapore counsel for the initial acquisition of assets by LCC from a United States based group. The initial real estate assets in the southern part of India accommodate advanced research and development infrastructure in multi-tenanted research buildings, incubation facilities, build to suit blocks and industrial plots.

  • CNP acted as counsel to Hera Capital and DSG Consumer Partners in their S$5million investment into home-grown store chain SaladStop!

  • CNP acted as lead counsel for the launch of Wavemaker Pacific 1 Pte. Ltd. ("WPPL"), a Singapore domiciled, Asia Pacific focussed fund that seeks to realise long-term capital appreciation for its investors primarily by making venture capital investments in the securities of private companies primarily engaged in high technology industries.

  • CNP advised Lensbridge Capital Pte. Ltd. ("Lensbridge") on the grant of the Registered Fund Management Company ("RFMC") status from the MAS. A RFMC is permitted to undertake fund management operations in Singapore for up to 30 qualified investors with a cap on assets under management of S$250 million.

  • CNP acted as lead counsel for the launch of Asia Special Opportunities Fund Pte. Ltd., a Singapore domiciled, Asia focused fund that looks for special situations opportunities in Asia, particularly in India.

  • Colin Ng & Partners LLP ("CNP") acted as lead counsel for the launch of Pilgrim Growth and Income Fund ("PGIF"), a hedge fund that seeks to look for opportunities globally, with an emphasis on developed markets and Asia.

  • Colin Ng & Partners LLP ("CNP") in two separate mandates advised Alpha Alternative Advisors Pte. Ltd. ("AAAPL") and Pacrise Investment Management Pte. Ltd. ("Pacrise") on the grant of the Registered Fund Management Company ("RFMC") status from the Monetary Authority of Singapore.

  • Colin Ng & Partners LLP ("CNP") acted as lead counsel for the launch of Ashiana Fund Ltd ("AFL"), a long/short equity securities focussed hedge fund that seeks to look for opportunities in the Asean region.

  • Colin Ng & Partners LLP ("CNP") advised ICH Gemini Pte. Ltd. ("ICH") on the grant of the Registered Fund Management Company ("RFMC") status from the Monetary Authority of Singapore.

  • Colin Ng & Partners LLP ("CNP") advised Eightstone Pte. Ltd. ("Eightstone") on obtaining the Capital Markets Services Licence in the Accredited / Institutional Investors Fund Management Company category from the Monetary Authority of Singapore recently.

  • Colin Ng & Partners LLP ("CNP") acted as lead counsel for the launch of DMI Income Fund Pte. Ltd. ("DMIIF"), a Singapore domiciled, India focussed fund that seeks to look for opportunities in Indian corporate debt.

  • Singapore counsel for the launch of Sanchi Credit Value Fund and Ocean Dial Global Arbitrage Fund, funds focused on global credit markets and arbitrage opportunities respectively, and managed by Ocean Dial Asset Management Singapore Pte. Ltd.

  • Lead counsel for the launch of River Valley Core Compounding Fund, an Asia focused hedge fund managed by River Valley Asset Management Pte. Ltd and notified as a Restricted Foreign Scheme to the Monetary Authority of Singapore.

  • Advised the Ocean Dial group on its expansion into Asia and on obtaining the Registered Fund Management Company status from the Monetary Authority of Singapore.

  • Acted for Ocean Dial Investment Company Singapore on the acquisition of Ocean Dial Group Limited ("ODGL") from Caledonia Investments Plc. ODGL's FCA authorised subsidiary Ocean Dial Asset Management Limited manages two India focused investment funds.

  • Advised a leading hedge fund manager on a proposed debt restructuring of a large cross-border business by means of a Singapore scheme of arrangement.

  • Advised the Al Masah group on its expansion into Asia and on obtaining the Registered Fund Management Company status from the Monetary Authority of Singapore.

  • Advising River Valley Asset Management Pte Ltd. (RVAM) on setting up fund management operations in Singapore as a Registered Fund Management Company. Advising RVAM on continuing compliance obligations and customer documentation.

  • Advising Japanese fund advisors on structuring of funds and requirements for offering funds in Singapore.

  • Advising the manager of a leading global distressed assets fund on a large debt re-structuring of an insolvent group.

  • Advising a Taiwan based financial institution on setting up a fund to invest in fine art.

  • Advising OWW Investments III Limited in a US$6.5 million subscription for redeemable convertible preference shares in an international branded footwear manufacturer.

  • Advising as Singapore counsel for YA Global Master SPV Ltd, a private equity fund managed by Yorkville Advisors LLC, on an acquisition of up to US$13.6 million of shares in an Indonesian food manufacturing and marketing company listed on the Jakarta Stock Exchange.

  • Advising as Singapore counsel for YA Global Master SPV Ltd on an acquisition of up to US$24 million of shares in an Indonesian transportation, oil and gas company listed on the Jakarta Stock Exchange.

  • Advising as Singapore counsel for YA Global Master SPV Ltd on a A$15 million equity line financing facility for Drillsearch Energy, an oil and gas exploration and production company listed on the Australian Stock Exchange.

  • Advising Guardtime Holdings, an investee company in the telecoms media industry on an investment by a private equity fund and the investment arm of a Singapore backed institution.

  • Advising Abterra Ltd on a S$50 million equity line financing facility and S$3 million Series A loan note subscription by YA Global Master SPV Ltd, a fund managed by Yorkville Advisors LLC.

  • Advising YA Global Master SPV Ltd, a private equity fund managed by Yorkville Advisors LLC, on a S$10 million equity line financing facility for SGX-ST Mainboard listed Advanced Integrated Manufacturing Corp Ltd.

  • Drafting the fund documents for a Cayman Islands limited partnership targeted at a size of US$250 million to invest in equity and equity-related investments in companies in emerging East Asia, e.g. China, Malaysia, Singapore, Indonesia, Thailand, Hong Kong, focussing on resources, consumer and selected industrial sectors.

  • Drafting a private placement memorandum for preference shares in a Singapore incorporated fund targeted at a size of S$200 million to invest in SMEs in Asia (predominantly China) across any industry expected to enjoy sustainable growth over a 3 to 5 year horizon.

  • Advising the management sellers to a leveraged private equity management buyout of a group of companies engaged in the business of manufacturing technical equipment in China for distribution in the US and elsewhere, with a transaction value of over US$100m. The transaction involved a leading international private equity house and was financed by one of the largest banks in Asia

  • Advising Ternion Capital Management on an investment from Singapore into Japanese real estate using a bankruptcy remote Tokutei Mokuteki Kaisha (TMK) securitised funding structure

  • Advising Ternion Capital Management on an investment from Singapore into a Thai consumer credit portfolio and related asset management business

  • Advising Kubera Cross-Border Fund (Mauritius), a private equity fund listed on AIM in London, on the acquisition of a significant interest in Venture Infotek, Mauritius which owns India's leading transaction processing company

  • Advising a Japanese client on the establishment of a fund and fund management company in Singapore to invest in international food businesses in Asia

  • Advising an international fund manager on establishing a US$200 million fund to invest in Asian private equity, in partnership with Temasek

  • Advised a European Asset Manager on setting up a real estate asset management business in Singapore structuring funds in accordance with the relevant exemption from licensing.

  • Advising MacarthurCook Property Securities Fund (MPS) on Singapore law in relation to its fully underwritten non-renounceable rights issue in 2012. MPS is a property securities fund that is managed by MacarthurCook Fund Management Limited and has a primary listing on ASX and a secondary listing on SGX-ST.

  • Advising a global logistics facilities provider in the sale of its interest in a Japanese real estate joint venture structured through a Singapore trust to the other joint venture partner for a consideration in the region of US$1billion

  • Advising Allco Finance Group as sponsor/manager on the establishment of the Allco REIT, the acquisition and the debt funding of various assets on listing and subsequent to listing and the underwriting of the international offering of units

  • Acting as international counsel for the YTL Group as sponsor and manager of Starhill REIT, Malaysia's first international REIT, on the establishment of the REIT and the underwriting of the offering

  • Advising MacarthurCook Fund Management on the secondary listing of MacarthurCook Property Securities Fund, the first secondary listing of an Australian trust in Singapore

  • Advising Allco Funds Management (Singapore) Limited in the establishment of the Allco Property Return on Investment Fund, a US$200 million closed-end unitised investment vehicle investing in real estate opportunities in the Asia Pacific region

  • Advising Lend Lease on Lend Lease Asian Retail Investment Fund, a private equity fund which raised S$375 million in its first financial close in 2006 with a second close in 2007

  • Advising Lend Lease on the acquisition of Paradiz Investments Ltd, owner of the Paradiz Centre in Singapore, for an enterprise value of S$138 million, in a joint venture with a private equity fund
