Biography
Elaine Beh heads the Corporate & Commercial Practice and co-heads the Corporate Finance Practice. Her principal areas of practice are in corporate and financial services, with particular emphasis on corporate finance, securities and capital markets and mergers and acquisitions.
She has substantial experience advising on listings on the Singapore Exchange. Her other experience include corporate restructurings, cross-border joint ventures, mergers and acquisitions in the region. She also regularly advises on Singapore Exchange compliance and corporate governance issues.
Her clients include listed Singapore and foreign companies from a diverse range of industries – from manufacturing, logistics, food, services to technology. She is also a regular presenter at seminars on topics on initial public offerings, mergers and acquisitions and corporate governance issues.
Elaine graduated from the National University of Singapore in 1989 and was admitted to the Singapore Bar in 1990.
Practice Experience
- Acted for Allco (Singapore) Ltd in its launch of Allco Commercial Real Estate Investment Trust (REIT), which was listed on the Main Board of Singapore Exchange Securities Trading Ltd on 30 March 2006. Sponsored by Allco Finance Group Ltd, an Australian financial services company with gross funds under management in excess of A$7.6 billion, Allco Commercial REIT is the first Asia-Pacific REIT with assets in both Singapore and Australia.
- Acted as legal advisor on Singapore Law to JES International Holdings Limited in their listing on the main board of the Singapore Exchange on 11 December 2007. The net proceeds from the initial public offering was S$232 million.
- Acted in voluntary conditional cash offer by BNP Paribas Peregrine (Singapore) Ltd, for and on behalf of Top Treasure Group Ltd, for the offer shares in a Singapore listed company.
- Acted for Portek International Limited ("Portek") on its sale of a 25% stake in its multipurpose terminal in Banten, West Java, which values the Banten terminal at US$23.5 million (S$41.2 million). Founded in 1988, mainboard-listed Portek is acknowledged by some international trade journals as the world's leading container crane leasing company.
- Advised in numerous other initial public offerings and listings on the Singapore Exchange.
- Acted for the vendors in the sale of TPA Private Limited and certain businesses and subsidiaries TPA Strategic Holdings Limited, an investment holding company, is primarily focused in the aviation business with a main portion of investments directed towards regional development within this sector. The transaction was valued at S$53 million.
- Assisted Romar Positioning Equipment Pte Ltd in a S$65 million deal on the sale of its entire business and its subsidiaries (including its entire shareholdings in subsidiaries in the People's Republic of China) to the wholly-owned Singapore subsidiary of a leading U.K Company dealing with, among others, production of welding consumables and equipment.
