Biography

 

Pradeep specialises in corporate matters including the rendering of advice in relation to investments, joint ventures, acquisitions and disposals of businesses, assets and shares, restructuring and shareholders' agreements.

Pradeep is also experienced in corporate finance matters including initial public offerings, rights issues, private placements and employee share option and share schemes and bond issues.

As Co-Head of our Employment Practice Group, he also regularly advises on the whole spectrum of employment law issues from the onset of the employment relationship to its termination as well as immigration issues and applications.

As Head of our Compliance & Regulatory Practice Group, Pradeep oversees all of the firm's work in relation to compliance and regulatory matters including the setting up of operations in Singapore, licensing requirements, compliance issues for both private and listed companies and corporate governance issues. 

Pradeep is a former Senior Assistant Registrar of Companies and Businesses.

Pradeep is a recommended lawyer for Employment in the Asia Pacific Legal 500 2017 publication and a leading lawyer for Asialaw Profiles 2017.



Practice Experience

 

  • Acted as Singapore counsel to the successful bidder, Downer EDI Ltd, in the sale of Singapore’s CPG Corporation Pte Ltd (formerly known as the PWD). The former Singapore Government department was divested by the investment arm of the Singapore Government as part of its ongoing sell-off of non-core activities. Advised on all aspects of Singapore law arising during the due diligence process, the bidding and tender process and the purchase negotiations.

  • Acted for a short listed bidder in matters relating to the proposed sale of Changi International Airport Services Pte. Ltd. (CIAS) by a wholly-owned subsidiary of Temasek Holdings (Private) Ltd. CIAS is a provider of ground handling, cargo handling and in-flight catering services to 28 scheduled and over 40 non-scheduled airlines with flights to and from Singapore Changi International Airport. CNP advised the potential bidder on the Singapore law implications of the transaction and on regulatory, compliance and licensing issues.

  • Regularly advise listed companies on their transactions as well as corporate governance and compliance issues relating to the relevant statutory requirements and the Singapore Exchange’s Listing Manual, including drafting and reviewing the requisite transactional documentation, announcements and circulars.

  • Regularly advise both employers and employees on employment matters including employment contracts, employee handbooks and issues relating to the termination of employment.
