CNP partner presents at Company law conference


On 25 July 2013, CNP partner Bill Jamieson presented at a Company law conference organised by BizNet Global held at Holiday Inn, Orchard. The conference discussed some anticipated amendments to the Singapore Companies Act which are intended to be implemented early next year, the implications on business, particularly examining the effect on stakeholder groups, shareholders’ rights, foreign entities, merger control issues, and best practices in Corporate Governance and Enterprise Risk Management.

Bill talked on the impact of the amendments to the regulatory framework for foreign entities proposed by the Accounting and Corporate Regulatory Authority (ACRA) in 2011 and on the recent interpretation of the Companies Act provision "ring-fencing" the winding-up of Singapore branches of foreign entities applied in the Beluga Chartering case. ACRA's proposals in this area did not find their way into the current proposed legislation to amend the Companies Act and we understand further consultation by ACRA on proposed amendments to the law regarding foreign entities can be expected in August 2013. We will be reporting on future developments in this area.
